Terms of Service

Social Venture Circuit is a not-for-profit corporation registered in Canada under the Not-for-profit Corporations Act (in this Agreement, “we”, “us”, “our”, “SVC” etc.). This Terms of Service Agreement (the “Terms”) governs your access to our products and services as a Startup subscriber or Enterprise subscriber (“you”, “your” etc.) with SVC, as well as your use of any content (“Content”) including but not limited to:

a) our website (https://socialventurecircuit.ca) (“Website”) including materials written, displayed or available for download and related systems and software,
b) SVC’s social media properties,
c) content presented during events hosted by SVC, at times in partnership with other organizations and the related systems and software used,
d) online community forums managed by SVC, or
e) content delivered in-person or via an online meeting by any staff of SVC.


It is important that you read these terms carefully. By clicking on the “I have read and agree to the Terms of Service”, you represent, warrant and signify that: (a) you are at least 18 years of age, (b) if you are acting on behalf of a company or entity, you have the authority to bind such company or entity to these Terms, (c) you have read, understood and agree to be bound by these Terms as they may be amended from time to time, and (d) you have read and understood our privacy policy (“Privacy Policy”), which can be accessed here.
We may revise these Terms at any time by updating this page. If we make any material changes, we will notify you by email prior to the change becoming effective. Use of the Content after such changes are posted will automatically signify your acceptance of these revised terms. You should visit this page periodically to review the Terms.


Subscription to access SVC’s products and services is based on the payment of a fee, at the cost published on the Website and discounts where applicable, for a billing period of 1 year or approximately 365 days beginning from the initial payment date or any subsequent payment dates for renewal. If the subscription lapses, it is up to you to renew via the Website, submit the payment and confirm that subscription is valid again. To maintain a subscription in good standing, you must be in compliance with the Terms define herein. A subscription that is valid and in good standing is required for participation in our events and programs, use of any products and services, and access to the Content.
Any changes to fees for active subscribers will take effect upon the next renewal date. Registration will be completed through the Website with a third-party gateway used to process payments (check terms and conditions and privacy policy for PayPal). SVC will not have access to any debit card, credit card or payment account information that you provide during the payment process.
If you are purchasing or renewing the Startup subscription, by accepting these Terms, you confirm that, at the time of payment, you are either using the Content as an individual or that, as an organization, you meet the eligibility criteria listed on the Website based on your current operating budget, prepared to the best of your knowledge. We may at any time request information to confirm your subscription submission and profile details submitted on the Website.


The qualifications for and benefits associated with this subscription are listed on the Website, which we may update at any time. You will have access to these benefits and the Content as long as you maintain a valid subscription with SVC.
Under our Articles of Incorporation, this subscription does not represent any membership, voting or non-voting, in the non-profit organization registered as Social Venture Circuit.


We grant you a non-exclusive licence to use SVC branded materials to represent your participation in our programs only where such materials are explicitly identified for this purpose and are used only in the format and context provided. This licence will remain in effect as long as you maintain a subscription with SVC that is valid and in good standing. You will not use any of our other information for promotional or other purposes without obtaining our prior written consent. We reserve the right to refuse the use of SVC branded materials.
You hereby also grant us the use of your logo, name and profile information as submitted online to include in our public community directory. If deemed necessary, you may submit a written request to us for omission of your logo, name and profile information from this directory. We will not use any of your other information for promotional purposes, via the Website, social media or events, without obtaining your prior written consent. Such consent shall not be unreasonably withheld by you.


You agree to participate in feedback processes that highlight your goals, objectives and other relevant information to assess the effectiveness of the programs delivered by SVC. You will be required to complete the annual member survey distributed by us to keep your subscription in good standing. You also agree to inform SVC of any business and/or personal development success that may arise as a result of the programming delivered by us.


With the completion of the online registration process and payment of your subscription fee, you consent to receiving email communication from us and you will be added to our email distribution list.
All communications you send to other Startup subscribers, Enterprise subscribers, any SVC staff or other third parties are subject to Canada’s anti-spam legislation, and you are responsible for ensuring compliance with those laws for any communications you distribute. We assume no liability whatsoever for any such communications.


You agree to respect the proprietary rights of SVC and other individuals or organizations who are also subscribing to our programs or working in partnership with us. Any violation of this clause shall be cause for termination of your subscription and liability for damages.


You agree that you shall not, without the prior written permission of SVC, disclose any information or documentation discussed or provided by SVC except to the extent that such information or documentation is demonstrably in the public domain. You may disclose relevant information or documentation discussed or provided by SVC with strategic partners or investors as it pertains to making business decisions.
Should you wish to obtain the right to publish or reproduce any such materials or documentation, you may request a non-exclusive license for this purpose from SVC. We reserve the right to refuse such a license at our sole discretion, or to impose such conditions upon the grant of the license as we see fit.
SVC does not take responsibility for the information you choose to disclose in your profile on the Website and any information that you share with other subscribing members or participants in our programs and events. It is your responsibility to ensure that you protect any confidential personal and business information (“Personal and Business Information” as defined in the Privacy Policy). We are not responsible for the confidentiality of any information disclosed to any persons except for SVC staff.


The Content contains links to and information from third parties including but not limited to our subscribers, partners and service providers. This information is provided solely as a convenience to you and not as an endorsement by SVC of any such third party, its website, its content or programs. Unless expressly stated, SVC does not manage and is not responsible for any third-party content or programs linked to the Content. We make no representation, warranty, or covenant of any kind regarding the accuracy, fitness or delivery of their content or services. We reserve the right to prohibit, refuse to accept or remove any third-party information included in the Content. You agree to remove any information shared upon our request.


You agree to indemnify, defend, and hold harmless SVC, including its officers, directors, employees, agents, licensors, advisers, and their respective successors and assigns, from and against any and all claims, demands, liabilities, costs, or expenses whatsoever, including, without limitation, legal fees and disbursements, resulting directly or indirectly from:
a) your breach of these Terms,
b) your access to, use or misuse of, reliance upon, or inability to access or use the Content,
c) your access to, use of, reliance on, publication, communication, or distribution of the Content,
d) any direct relationships you may establish with participants and partners in our programs, or
e) any use of third-party products and services provided by participants and partners in our programs.


All notices provided within the scope of these Terms shall be sent to SVC at members@socialventurecircuit.ca and to you, at the email address submitted in your profile.
If any provision of these Terms is found to be invalid or unenforceable, such provision will not affect the validity and enforceability of the remaining terms and conditions. The insertions of headings are for convenient reference only and are not to affect the interpretation of these Terms.
You may terminate your subscription at any point by sending an email to members@socialventurecircuit.ca. We may terminate your subscription at any time for breach of these Terms. Any fees paid are non-refundable in the event of such early termination.
